1. Agreement and Scope
These Terms of Use (the “Terms”) govern your access to and use of https://netbeez.net and any other public website operated by NetBeez, Inc. that links to these Terms (collectively, the “Website”). “NetBeez,” “we,” “us,” and “our” mean NetBeez, Inc.
By accessing or using the Website, you agree to these Terms. If you do not agree, do not access or use the Website.
These Terms govern the public Website only. They do not govern the licensing or use of NetBeez software or hardware, hosted services, customer accounts, professional services, support services, paid subscriptions, or product trials. Those offerings are governed by the applicable order, quote, customer agreement, data processing addendum, NetBeez Software License Agreement, or other written agreement between NetBeez and the customer. If these Terms conflict with such an agreement regarding a NetBeez product or service, that other agreement controls.
Our Privacy Policy explains how we collect, use, disclose, and protect personal data.
2. Eligibility and Authority
The Website is intended for business and professional audiences and is not directed to children. You may use the Website only if you have the legal capacity to agree to these Terms. If you use the Website on behalf of a company or other organization, you represent that you have authority to bind that organization to these Terms, in which case “you” includes that organization.
3. Changes to These Terms
We may update these Terms from time to time to reflect changes to the Website, our business practices, or applicable law. We will post the updated Terms on this page and revise the “Last Updated” date. Changes become effective when posted unless a later date is stated. Subject to these Terms, NetBeez grants you a limited, revocable, non-exclusive, non-transferable right to access and use the Website for lawful business, professional, and informational purposes.
You may download or print a reasonable number of copies of publicly available Website materials for your internal business evaluation or reference, provided that you do not remove copyright, trademark, or other proprietary notices.
5. Prohibited Conduct
You may not, and may not attempt to:
- Use the Website in violation of any applicable law, regulation, or third-party right;
- Use the Website for fraudulent, deceptive, defamatory, abusive, harassing, or unlawful purposes;
- Gain unauthorized access to the Website, any account, or any connected network, system, or data;
- Interfere with, disrupt, damage, disable, or impose an unreasonable burden on the Website or its infrastructure;
- Introduce malware, harmful code, or other material intended to disrupt or compromise systems or data;

- Use the Website to develop or train a competing product or service using NetBeez confidential or proprietary material.
We may suspend or terminate access to the Website if we reasonably believe that a user has violated these Terms or poses a security, legal, or operational risk.
6. Accounts and Information You Submit
If a Website feature requires an account, you agree to provide accurate and current information, maintain the confidentiality of your credentials, and promptly notify NetBeez if you suspect unauthorized access. You are responsible for activity conducted through your account to the extent permitted by applicable law.
You represent that you have the necessary rights and permissions to submit any information or material you provide through the Website. You may not submit material that is unlawful, infringes another person’s rights, contains malicious code, or violates a duty of confidentiality.
Please do not submit trade secrets, confidential business information, sensitive personal data, or other information that is not necessary for your request. Personal data submitted through the Website is handled as described in our Privacy Policy.
7. Requests, Forms, and Communications
You may use Website forms to request information, a demonstration, a trial, support, or other assistance. Submitting a request does not require NetBeez to provide a product, service, trial, quote, or particular response. Any product or service we agree to provide will be subject to the applicable separate agreement.
When you submit a request, you authorize NetBeez to contact you as reasonably necessary to respond to and administer that request. NetBeez may send marketing communications only as permitted by applicable law and the choices presented to you. You may unsubscribe from marketing emails using the unsubscribe or communication-preferences link included in the email.

The Website and its content—including text, graphics, logos, icons, images, videos, software, documentation, page design, and the selection and arrangement of these materials—are owned by or licensed to NetBeez and are protected by copyright, trademark, trade-secret, and other intellectual-property laws.
NetBeez, the NetBeez logo, and other NetBeez product and service names, designs, and slogans are trademarks or service marks of NetBeez. You may not use them without our prior written permission. Third-party names and marks displayed on the Website belong to their respective owners.
Except for the limited right expressly granted in Section 4, no right, title, or interest in the Website or its content is transferred to you. NetBeez and its licensors reserve all rights not expressly granted.
9. Feedback and Unsolicited Ideas
We welcome feedback about the Website and NetBeez offerings. Do not send us confidential or proprietary ideas, business plans, inventions, or other material unless we have agreed in writing to receive it confidentially.
If you voluntarily provide suggestions, ideas, or other feedback without a separate written agreement, you grant NetBeez a worldwide, perpetual, irrevocable, royalty-free, transferable, and sublicensable right to use, reproduce, modify, distribute, and otherwise exploit that feedback for any lawful purpose without restriction or compensation to you. This provision does not transfer ownership of personal data, which remains subject to our Privacy Policy.

The Website may contain links to, integrations with, or content from third-party websites and services. NetBeez does not control and is not responsible for their content, availability, security, terms, or privacy practices. A link or reference does not imply endorsement. Your use of a third-party website or service is governed by that third party’s terms and policies.

We may modify, suspend, restrict, or discontinue all or part of the Website at any time. We do not guarantee that the Website or any content will always be available, uninterrupted, current, complete, secure, or error-free. We may correct errors or omissions and update content without notice.

It does not constitute legal, financial, security, compliance, or other professional advice, and it does not create a warranty or binding product commitment. Product capabilities and obligations are determined by the applicable written agreement.

NETBEEZ DISCLAIMS ALL IMPLIED WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AND QUIET ENJOYMENT.
NETBEEZ DOES NOT WARRANT THAT THE WEBSITE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, FREE OF HARMFUL COMPONENTS, OR THAT DEFECTS WILL BE CORRECTED. YOU USE THE WEBSITE AT YOUR OWN RISK.
Some jurisdictions do not allow the exclusion of certain warranties, so some exclusions above may not apply to you.
13. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NETBEEZ AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, BUSINESS, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATED TO THE WEBSITE OR THESE TERMS, REGARDLESS OF THE THEORY OF LIABILITY AND EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE TOTAL AGGREGATE LIABILITY OF NETBEEZ AND THE OTHER NETBEEZ PARTIES ARISING OUT OF OR RELATED TO THE WEBSITE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) ONE HUNDRED U.S. DOLLARS (US $100) OR (B) THE AMOUNT YOU PAID NETBEEZ SPECIFICALLY FOR ACCESS TO THE PUBLIC WEBSITE DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.
Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited, including liability for fraud or fraudulent misrepresentation and any other liability that applicable law prohibits us from limiting.
14. Indemnification
To the extent permitted by law, you agree to defend, indemnify, and hold harmless NetBeez and its affiliates, officers, directors, employees, and agents from third-party claims, liabilities, damages, judgments, losses, costs, and reasonable attorneys’ fees arising from or related to: (a) your material violation of these Terms; (b) your unlawful or unauthorized use of the Website; or (c) information or material you submit that infringes or violates a third party’s rights.
NetBeez will provide reasonable notice of an indemnified claim. NetBeez may control the defense and settlement of the claim, and you agree to provide reasonable cooperation. You may not settle a claim in a manner that admits liability by NetBeez or imposes obligations on NetBeez without our prior written consent.
15. Export Controls and Sanctions
You may not access, use, export, re-export, or transfer Website content in violation of applicable U.S. or other export-control or economic-sanctions laws. You represent that you are not prohibited from accessing the Website under such laws.
16. Governing Law and Venue
These Terms and any dispute arising out of or relating to these Terms or the Website are governed by the laws of the Commonwealth of Pennsylvania, without regard to conflict-of-law principles.
You and NetBeez agree that any legal action or proceeding arising out of or relating to these Terms or the Website must be brought exclusively in the Court of Common Pleas of Allegheny County, Pennsylvania, or the United States District Court for the Western District of Pennsylvania, and each party consents to the personal jurisdiction and venue of those courts.
Nothing in this Section deprives an individual of any mandatory protection or right that cannot be waived under applicable law.
17. General Terms
17.1 Severability
If any provision of these Terms is held invalid, illegal, or unenforceable, that provision will be enforced to the greatest extent permitted, and the remaining provisions will remain in full force and effect.
17.2 Waiver
A failure or delay by NetBeez to enforce a provision of these Terms is not a waiver of that provision or any other provision. A waiver is effective only if it is in writing and signed by an authorized representative of NetBeez.
17.3 Assignment
You may not assign or transfer these Terms or any rights under them without NetBeez’s prior written consent. NetBeez may assign these Terms in connection with a merger, acquisition, corporate reorganization, sale of assets, or by operation of law.
17.4 Entire Agreement
These Terms and the documents expressly incorporated by reference constitute the entire agreement between you and NetBeez concerning your use of the public Website and supersede prior or contemporaneous understandings concerning that subject. Separate agreements governing NetBeez products and services remain in effect according to their terms.
